My friend and I started a business in June 2013. He went silent, and I thought the company was finished. But then I learned he’d been running it on his own for almost a year, making deals with clients in the US and even travelling there! I can’t get in touch with him now. I want to shut down the company (it’s an LLP registered in Bangalore) and hold him accountable for using our company records to make money without my knowledge. We are equal partners with 50% shares each. What steps should I take to dissolve the company and recover some of the profits he unfairly earned?

You need to file a winding-up petition with the National Company Law Tribunal (NCLT) in Bangalore, citing your partner’s unauthorized actions and seeking dissolution of the LLP. You can also file a separate lawsuit against him for breach of partnership agreement and seek an accounting of the profits he earned and compensation for your share.
